Georgia official warns businesses to watch for solicitation fraud

Atlanta corporations should be on the lookout for solicitations from firms offering to complete corporate minutes for a fee. According to Secretary of State Brian Kemp, a firm called Compliance Services is one that poses a potential threat for Georgia corporations. Kemp urges corporations to be diligent in assessing such solicitations, noting that they may lead to fraud and identity theft.

According to Atlanta area news media, the solicitations coming from Compliance Services may appear legitimate and contain language from various sections of Georgia Code. There is also a disclaimer which states that the product is not government endorsed or offered. Kemp says corporations will benefit from understanding the difference between these solicitations and legitimate documents from his office, which will display the State Seal and other official information clearly.

Georgia law does not require corporations to file corporate minutes with the Secretary of State's Corporate Divisions office, as is apparently implied in this company's pitch material. Corporate officers who have concerns should direct any questions they have regarding suspicious solicitations to the Corporations Division office to verify their legitimacy. Contacting an experienced attorney is an option as well.

While no corporation can be completely protected or prepared to deal with the implications that fraud and identity theft can have, there are ways that corporate officers across Georgia can help protect themselves and their businesses. Being diligent and observant to Georgia laws and practices may be one effective tool in the hands of corporate officers. Similarly, being observant and cautious toward suspicious solicitations and companies seeking corporate information could serve to help reduce fraud and identity theft concerns.
